
The European SME Acquisition Underwriting Model is an Excel-based financial model designed for entrepreneurs, searchers, investors and advisors evaluating the acquisition of a small or medium-sized business.
The model focuses on the financial questions that matter most in an owner-managed SME transaction: What does the business really earn? What is the correct equity purchase price? How can the acquisition be financed? Can the business support the proposed debt structure? And what return can the buyer reasonably expect?
The model starts with an EBITDA normalization schedule, allowing users to adjust reported earnings for owner compensation, related-party payroll, non-recurring professional fees, one-off legal costs, non-market rent, discretionary expenses and other normalization items. This produces a normalized EBITDA figure that flows directly into the valuation and transaction analysis.
The enterprise-to-equity bridge converts enterprise value into the estimated equity purchase price using cash, financial debt, net working capital adjustments and additional cash-like or debt-like items. The model also includes a detailed sources and uses analysis.
Acquisition financing can be structured using bank debt, a vendor loan and contingent earn-out consideration. Separate interest rates and amortization schedules are included, together with a five-year debt service schedule and Debt Service Coverage Ratio (DSCR) analysis.
A five-year operating forecast calculates revenue, EBITDA, EBIT, taxes, capital expenditure, working capital requirements and free cash flow. Buyer returns are then calculated using IRR and MOIC, including the impact of debt repayments and exit value.
The model also includes a DCF valuation cross-check, an entry-versus-exit multiple sensitivity table and a maximum-bid analysis based on the buyer’s target equity IRR. Built-in model checks flag potentially unrealistic assumptions such as insufficient DSCR, invalid terminal-growth assumptions or inconsistencies between sources and uses.
This model is particularly suited to European SME acquisitions where vendor loans, earn-outs, working-capital adjustments and bank financing commonly form part of the transaction structure.
The workbook is fully editable and formulas are transparent. Blue cells indicate user inputs, while linked cells and calculations are clearly separated for ease of use.
